We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.

We retain all right, title, and interest in and to the Services and all intellectual property rights related thereto. The copying, redistribution, use, or publication of any such Content or any part of the Services is prohibited without express written permission from CanadaMarket Consult.

6. Client Content

You retain all ownership rights to any content you submit, post, or display on or through our Services ("Client Content"). By providing Client Content to us, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such Client Content in connection with providing Services to you. This license ends when you delete your Client Content or your account.

7. Service Modifications

We reserve the right at any time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

8. Payment Terms

Fees for our Services are set forth in separate agreements between you and CanadaMarket Consult. Unless otherwise specified, all fees are quoted in Canadian dollars and are non-refundable. You agree to provide accurate and complete billing information, including legal name, address, telephone number, and payment information. By submitting payment information, you authorize us to charge your payment method for all fees incurred.

9. Limitation of Liability

In no event shall CanadaMarket Consult, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

10. Indemnification

You agree to defend, indemnify, and hold harmless CanadaMarket Consult and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Services.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association. The arbitration shall be conducted in Toronto, Ontario, and the judgment of the arbitrator may be entered in any court having jurisdiction.

13. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms. Upon termination, your right to use the Services will cease immediately.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of changes by posting the updated Terms on this page with a new effective date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
